Terms of Use
Agreement governing use of the Block Margin platform.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
Welcome to the Block Margin application ("Block Margin," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the blockmargin.app/trade platform, website, and all associated tools, APIs, smart contracts, and digital interfaces (collectively, the "Services"). By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must stop using the Services immediately.
1. Nature of the Services
Block Margin provides a decentralized technology platform that allows users to connect digital wallets, view market data, and engage in transactions - including Forward Rate Agreements (FRAs) or other financial contracts - through blockchain-based smart contracts and stablecoin instruments.
The platform functions solely as a technical interface. Block Margin:
- Does not act as a counterparty, intermediary, broker, custodian, or financial advisor;
- Does not hold, manage, or control user assets, private keys, or funds;
- Does not provide investment, trading, or legal advice.
All transactions are executed peer-to-peer through decentralized smart contracts deployed on supported blockchains.
2. Smart Contracts and Stablecoins
You acknowledge and agree that:
- The Services rely on blockchain-based smart contracts, which are experimental technologies and may contain bugs, vulnerabilities, or coding errors that could lead to loss of funds or unexpected outcomes;
- The Services may utilize stablecoins or other tokenized representations of value, whose market value or peg (e.g., to fiat currencies) is not guaranteed;
- Block Margin provides no warranties or assurances regarding the security, performance, or reliability of any smart contract or the stability of any stablecoin used within the platform.
You use these technologies entirely at your own risk and accept full responsibility for verifying the integrity and safety of any smart contract or token involved in your transactions.
3. User Responsibilities and Regulatory Compliance
Users are solely responsible for:
- Ensuring that their activities using the Services comply with all applicable laws, regulations, and licensing requirements in their jurisdiction;
- Evaluating the legality and enforceability of any FRA or similar digital contract entered into through the platform;
- Performing due diligence on any counterparty;
- Meeting all tax, reporting, and recordkeeping obligations arising from their use of the Services.
Block Margin does not monitor, review, or validate the regulatory status, legality, or compliance of any user activities or transactions.
4. No Warranties
The Services are provided strictly on an "as is" and "as available" basis, without any warranties of any kind, express or implied.
To the fullest extent permitted by applicable law, Block Margin disclaims all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, and non-infringement;
- Accuracy, reliability, or completeness of data;
- Security, continuity, or freedom from defects or errors;
- The value, safety, or stability of any digital asset, token, or stablecoin used within the Services.
Block Margin makes no representation or guarantee that:
- Smart contracts will function as intended;
- Transactions will be executed or settled without error;
- Any token or stablecoin will maintain its value or peg to any reference asset.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Block Margin and its contributors, affiliates, or service providers shall not be liable for any form of loss, damage, cost, or claim whatsoever, whether direct or indirect, including but not limited to:
- Financial losses, loss of profits, loss of data, or business interruption;
- Damages resulting from the use, misuse, or inability to use the Services;
- Failures, bugs, or exploits in smart contracts or blockchain protocols;
- Depegging or collapse of any stablecoin used within the Services;
- Market volatility, transaction delays, or third-party service issues;
- Losses arising from user error, wallet compromise, or unauthorized access.
You agree that your use of the Services is entirely at your own risk, and you will not hold Block Margin responsible or liable for any loss, damage, or claim arising out of or related to your use of the Services. Block Margin provides no indemnities, guarantees, or compensation under any circumstance.
6. Eligibility
By using the Services, you represent and warrant that you:
- Are at least 18 years of age or the legal age of majority in your jurisdiction;
- Have full legal capacity and authority to enter into binding agreements;
- Are not a resident of a jurisdiction where use of the Services is prohibited or restricted;
- Are not subject to any sanctions or restrictions under applicable international law.
7. Wallet Connection and Security
Users interact with the Services through third-party digital wallets. Block Margin does not store, access, or control private keys or user assets. You are solely responsible for securing your wallet and managing your credentials. Any transaction initiated through your connected wallet is deemed to have been authorized by you.
8. Intellectual Property
All software, content, design elements, and branding associated with Block Margin are the property of their respective owners. You may not reproduce, modify, distribute, or create derivative works without prior written consent from the rights holder.
9. Third-Party Integrations
The Services may interact with or rely on external protocols, decentralized applications, or blockchain networks. Block Margin has no control over third-party systems and assumes no responsibility for their availability, reliability, or security. Use of any external service is entirely at your own risk.
10. Modifications and Availability
Block Margin may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
11. Governing Principles
Block Margin is a product developed by Dynamic Strategies, incorporated in Gibraltar. These Terms are governed by the laws of Gibraltar to the extent applicable, and otherwise by general principles of good faith, fair dealing, and mutual consent between users and the platform operator.
12. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
